These Terms of Service (“Terms”) govern your (“User”, “you”, “your”) access to and use of the Platform (as defined below) and Services (as defined below), provided by GC Web Ventures Private Limited, a company incorporated under the laws of India and having its registered office at Plot No.-55, Upper Ground Floor Saidulajab, Westend Marg, New Delhi -110030 (“Indialends”, “we”, “us”, “”).

Please read these Terms carefully before accessing or using the Platform and Services. These Terms incorporate by reference:

● Our Privacy Policy, available at (“Privacy Policy”); and

● The terms and conditions of the Partners (defined below) and the Payment Partners, available at Score+ T&C (“Partner Terms”).

Indialends, through its mobile application operated under the name and style ‘Indialends’ and/or website, www.indialends.com, (collectively the “Platform”), in partnership with various credit information companies (“Partners”) and payment processors/aggregators (“Payment Partners”), offers a subscription-based product named ‘Score+’, designed to help Users monitor, understand, and improve their credit health. The services include access to monthly credit reports sourced from our Partners, credit score simulations, financial health education, and real-time alerts/notifications delivered via push notifications, SMS, and WhatsApp as more specifically detailed under Section W below (collectively, the “Services”). .

By availing the Services, you agree to be bound by the Partner Terms and acknowledge that the downloadable credit reports and related Services are made available in compliance with applicable laws and subject to your express consent provided to Indialends.

Your access to and use of the Services constitutes your agreement to these Terms, thereby creating a binding contractual relationship between you and Indialends. If you do not agree to these Terms, you must not access or use the Services.

By accepting these Terms, you further acknowledge and agree that the Services provided through the Platform do not constitute banking or financial services. Indialends offers these Services to you, through its proprietary technology and processes, on a non-exclusive basis, in collaboration with its Payment Partners and Partners.

Your continued use of the Platform for the Services constitutes your acknowledgment that you have read, understood, and agreed to these Terms and our Privacy Policy, and that your access is conditional upon your irrevocable consent to and acceptance of all terms, conditions, and obligations contained herein (as may be amended from time to time).

A. GENERAL

These Terms are governed by the provisions of the applicable Indian laws, the rules, regulations, guidelines, and clarifications framed thereunder, including but not limited to:

● The Indian Contract Act, 1872; and 

● The Information Technology Act, 2000 (IT Act)

B. ELECTRONIC RECORD

These Terms and your activity under these Terms are an electronic record as per the IT Act and these Terms, being electronically generated by a computer system, do not require any physical or digital signatures.

C. ELIGIBILITY

By using or accessing the Services you represent and warrant to Indialends that you:

a) have the full legal capacity and authority to enter into and be bound by these Terms;

b) you are at least eighteen (18) years of age;

c) are a resident of India; 

d) possess the requisite authority to enter into and perform your obligations under these Terms; 

D. USER ACCOUNT

To access and use the Services, each User must create and maintain an active account on the Platform (“Account”) linked to their valid mobile number. The mobile number, verified through a one-time password (OTP), shall be the primary mode of authentication and login. An email address may be collected from the User for communication and secondary purposes; however, it shall not be used for account creation or login.

The Account is mandatory for:

a) authenticating the User prior to retrieval and display of bureau data;

b) managing the User’s subscription, including renewal, cancellation, and payment updates; and

c) delivering personalized alerts, notifications, and credit insights through the Platform.

Accurate Information: By accepting these Terms, Users agree to provide true, current, and complete details (including but not limited to mobile number, email ID, and any other information, if applicable) and to keep such information updated at all times. Indialends shall not be liable for any consequences arising out of inaccurate, false, or incomplete information provided by the User.

Account Transferability: You further acknowledge that each Account is personal to the User, non-transferable, and may not be assigned, sold, shared, or otherwise made available to any third party.

Notification Obligation: Users shall promptly notify Indialends of any unauthorized access, suspicious activity, or compromise of login credentials. The Users shall, at all times, be solely responsible for all activities conducted under their Account, whether authorized by them or not. Users shall ensure that their login credentials, passwords, authentication codes, and any other information used to access the Account are kept confidential, secure, and not disclosed to any third party. Users shall promptly notify Indialends of any actual or suspected unauthorized access to or use of their Account. Indialends shall not be liable for any loss or damage arising from the User’s failure to maintain the security and confidentiality of their Account credentials.

Suspension, Inactivity, and Deletion: Indialends reserves the right to suspend, restrict, deactivate, or terminate any Account, with or without prior notice, in the event of suspected unauthorized use, fraudulent activity, breach of these Terms, inactivity or dormancy for a continuous period, or as required under applicable laws.

Liability Disclaimer: Indialends shall not be liable for any unauthorized access, misuse, or activity in the Account resulting from loss, theft, SIM swap, compromise of the User’s mobile number or OTP, or any failure by the User to safeguard their device or Account credentials.

E. ACCESS TO THE SERVICES

a) Key Services: Indialends offers the following Services with respect to the Score+ product:

Downloadable Credit Reports: Access to monthly credit reports sourced from the Partners. Each report shall be refreshed on a monthly basis, made available in a downloadable PDF format to the User, and may include details such as score trends, credit utilization, inquiries, loan account status (active/closed), and suggested measures for score improvement.

The credit reports are generated and sourced directly from independent credit information companies/Partner. Indialends does not alter, modify, or validate the accuracy of such reports and shall not be responsible for any errors, omissions, delays, or inaccuracies contained therein. Users are advised to independently verify their credit information with the respective Partner.

Credit Simulator: An interactive simulation tool enabling Users to assess the potential impact of various financial actions on their credit score. Such actions may include but not be limited to, inter alia, availing new loans or credit cards, missing or repaying EMIs/bills, closing credit facilities, increasing utilization, or initiating multiple credit inquiries. The simulator shall reflect projected score movements based on credit bureau’s risk models.

The credit simulator is a tool designed to provide indicative outcomes based on credit bureau provided risk models. The projected score changes are hypothetical and for educational purposes only and shall not be construed as financial advice or a guarantee of actual score movement from Indialends. Users should exercise their own discretion before making financial decisions based on the same.

Multilingual Video Explainers: Dynamic video explainers generated using the User’s bureau data is made available to the User and is aimed at simplifying complex credit behaviors. Such videos shall be refreshed in line with the bureau data (monthly or upon a new data pull) and shall be made available in English and Hindi to the User, with additional languages to be included in the future.

The above-mentioned video explainers are auto-generated using bureau data and scripts for educational purposes. While efforts are made to ensure clarity and accuracy, Indialends does not guarantee that such content is free of errors, misinterpretations, or omissions. Such explainers shall not be treated as financial, investment, or credit advisory services from Indialends or its Partners.

Real-time alerts and notifications – Indialends shall deliver alerts and notifications through push notifications, SMS, and/or WhatsApp, in respect of key credit events, including but not limited to, changes in credit score, addition of a new credit account, a new inquiry on the User’s credit profile, or the availability of a new monthly report.

These alerts and notifications are based on bureau data obtained from the Partners or triggers configured on the Platform. Delivery of alerts may be subject to network availability, third-party messaging systems, or technical errors beyond Indialends’ control. Indialends shall not be liable for any delay, non-delivery, or failure of such alerts, or for reliance placed upon them by the User.

b) You further understand that the availability the Services may be affected or interrupted due to planned maintenance, unplanned or emergency maintenance, force majeure events, or any other circumstances beyond Indialens’ reasonable control.

c) Indialends provides these Services on an “as-is” and “as-available” basis, without any warranties, express or implied, including but not limited to, fitness for a particular purpose, merchantability, accuracy, or non-infringement. Indialends reserves the right, at its sole discretion, to modify, suspend, or discontinue any aspect of the Services (in whole or in part) at any time without prior notice. Indialends shall not be liable for any loss, damage, or consequences arising directly or indirectly from the use of, reliance on, or inability to access or use the Services.

d) By availing the Service you further acknowledge and agree that, all analysis and estimates are based on multiple factors and data available with us. Our analysis and estimates are neither endorsed by, nor commissioned by, any of our Partners. The methodology we use to determine which offers, analysis, or other information is presented or highlighted is proprietary and we may elect to consider, ignore, emphasize, or de-emphasize certain factors in our sole and absolute discretion.

F. SUBSCRIPTION FEE AND REFUNDS 

a) Subscription Fee

The subscription fee for the Services (“Subscription Fee”) shall be determined solely by Indialends and notified to the User from time to time. The Subscription Fee shall be non-refundable in nature and shall be payable through UPI Autopay mandate or such other payment methods as may be introduced by our Payment Partners from time to time. Indialends reserves the right, at its sole discretion, to revise the Subscription Fee, introduce new subscription plans), or offer discounts/incentives. Any revision in the Subscription Fee shall not affect the active subscription of a User and shall apply only to new subscriptions availed thereafter.

b) Billing Cycle and Renewal

Each subscription availed by a User shall become effective immediately upon successful payment of the Subscription Fee and shall remain valid for a period as may be specified for the selected subscription plan by the User. Subscriptions shall automatically renew at the end of each billing cycle, and the applicable Subscription Fee for the renewal term shall be charged through the User’s selected payment method, 24 (twenty-four) hours prior to the expiry of the current term. Users may cancel their subscription at any time through the “Manage Subscriptions” section of the Platform, in which case auto-renewal will be disabled and Services shall continue until the end of the then-current billing cycle.

c) Refund Policy

All Subscription Fees once paid, are strictly non-refundable, including in cases of cancellation by the User. No partial or pro-rata refunds shall be provided for any unused days of the subscription period. Any refund, whether past, present, or future, shall be determined, processed, and governed solely in accordance with the refund policies of Indialends, as may be updated from time to time, at Indialends’ discretion.

d) You acknowledge and agree that Indialends is not involved in the settlement or processing of any Subscription Fees paid by you through our Payment Partners and shall not be liable for any unauthorized access, hacking, or other security breaches in connection with any Transactions undertaken by you through such Payment Partners. For the purpose of these Terms, a “Transaction” means any payment made by you to Indialends for the Services, whether on a subscription basis or otherwise, through a payment instrument facilitated by a Payment Partner on the Platform. All Transactions are initiated, processed, and settled in accordance with the Partner Terms, and your data may be collected, used, processed, or shared by the relevant Payment Partner in accordance with its own terms and privacy policy.

e) You are strongly advised to carefully review the applicable terms and privacy policy of the Payment Partner, available on its website, to understand your rights, obligations, and the manner in which your data may be collected, used, processed, or shared by such Payment Partner and the Transactions may be processed.

G. PROHIBITED ACTIVITIES

You shall not, directly or indirectly, engage in any of the following activities while accessing or using the Services/Platform:

a) Linking our Platform on any other website, application, or platform in any manner that:

● portrays, suggests, or implies our endorsement, association, or approval of any person, product, or service, unless our prior written consent has been obtained;

● is illegal or promotes unlawful activity; or

● causes, whether intentionally or unintentionally, damage to or has the potential to harm our reputation or goodwill.

b) Access or use the Services for any purpose other than your personal, lawful, and non-commercial use;

c) Engaging in misrepresentations or creating multiple Accounts or attempt to impersonate any person or entity

d) Using the Services for any purpose or in any manner that violates applicable laws, regulations, or third-party rights.

e) Engaging in activities that disrupt, damage, interfere with, or impair the operation of the Platform.

f) Attempting to bypass or circumvent security controls, authentication systems, or payment verification procedures.

g) Falsely implying any partnership, endorsement, or affiliation with us without prior written consent.

h) Using our trademarks, logos, or brand identifiers in an unauthorized manner.

i) Reverse engineering, decompiling, or otherwise attempting to extract the source code of any portion of the Services.

j) Interfering with, overloading, or launching denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against the Platform.

k) Submitting false, inaccurate, incomplete, or misleading information in relation to or for the Services.

l) Resell, sublicense, or make available the Services to any third party for commercial gain.

m) Collect, harvest, or attempt to harvest personal or financial information of other Users or third parties.

H. DISCLAIMER

To the fullest extent permitted by law, Indialends makes no representation or warranty of any kind whatsoever for the content, materials, information and/or functions available through the Services, or for any breach of security associated with the transmission of information (including sensitive information) through the Platform. Users are responsible for maintaining compatible devices, internet access, and updated software for availing the Services.

Indialends shall not be liable in the event of suspension, interruption, or unavailability of the Services due to factors beyond its reasonable control, including but not limited to force majeure events, maintenance downtimes, technical failures, downtime of credit bureaus or Payment Partners, or changes in applicable law or regulatory directions.

Indialends does not guarantee any specific outcome, including but not limited to an improvement in User’s credit score or financial profile, as a result of using the Services. The credit reports, simulations, and insights made available through the Platform are provided for informational purposes only and should not be construed as financial, legal, or investment advice from Indialends. You acknowledge that any decisions made by you based on the information or Services are solely at your own risk, and Indialends shall not be liable for any losses or consequences arising therefrom.

Any reliance on the material or information made available through the Services is at your own risk. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that any errors will be corrected. We do not warrant that the results obtained from use of Services will be accurate or reliable.

Indialends may use artificial intelligence (AI) tools and technologies to generate personalized videos, educational materials, and other content for Users. Such AI-generated content is provided for informational and educational purposes only and is not intended to constitute professional advice. While Indialends strives to ensure the accuracy and relevance of the content, it does not guarantee its completeness, reliability, or suitability for any specific purpose. Users are advised to exercise their own judgment and discretion before relying on any AI-generated material. Indialends shall not be liable for any loss, damage, or consequences arising from the use of, or reliance on, such AI-generated content.

Certain features of the Services are facilitated through third-party partners (including Partner, and communication partners and cloud infrastructure providers). Indialends does not control, endorse, or assume responsibility for the actions, omissions, or policies of any such third-party service providers. The credit reports, scores, and related information are sourced from the Partner. Indialends is not responsible for the accuracy, completeness, or timeliness of such information, which is controlled and updated solely by the relevant credit bureaus and credit institutions. Any disputes regarding credit reports obtained through the Services must be raised directly with the respective Partner.

Alerts and notifications (SMS, WhatsApp, push notifications) are provided as a convenience only. Indialends does not guarantee delivery, timeliness, or accuracy of alerts and shall not be liable for any loss, damage, or inconvenience caused by delayed or failed delivery.

To the fullest extent permitted by law, we expressly disclaim:

a) all warranties of merchantability, fitness for a particular purpose, title, and non-infringement with respect to the Services;

b) any liability for any loss of data, loss of business, loss of reputation, or loss of profits, whether direct, indirect, incidental, or consequential, arising out of your use of or inability to use the Services;

c) any responsibility for the acts, omissions, errors, representations, warranties, breaches, or negligence of any third parties (including Payment Partners and Partners) or for any personal injury, death, property damage, or other damages or expenses resulting therefrom;

d) any assurance that the Services, or any associated systems, networks, or servers are free of viruses, malware, or other harmful components;

e) any responsibility for unauthorized access to or use of your data, or information unless such access is solely and directly attributable to our gross negligence or willful misconduct;

f) any liability or responsibility for ensuring that your use/access to the Services comply with all applicable laws, rules, regulations, and governmental orders;

g) any liability for any damages, interests, claims, or other consequences resulting from the non-processing or delay in processing of any Transaction; and

h) Any obligation to provide support and/or assistance beyond what is expressly set out in these Terms.

i) Any guarantee that the Services will be compatible with all devices, operating systems, browsers, or network configurations of the User.

j) Any assurance that the use of the Services will result in any particular financial outcome, profit, saving, or other measurable benefit.

I. INDEMNITY

User hereby agrees to indemnify, defend, and hold harmless Indialends, its affiliates, directors, officers, employees, agents, and representatives (collectively, the “Indemnified Parties”) from and against any and all losses, liabilities, claims, demands, damages, costs, expenses (including reasonable legal fees and expenses), penalties, interest, and judgments, whether direct or indirect, arising out of or in connection with:

a) Any breach of these Terms, the Partner Terms, or any applicable laws, rules, regulations, or governmental orders by you or your agent.

b) Any claim made by a third party in relation to your use of the Services.

c) Any unauthorized access of the Services/Account, breach of data security, attributable to you, your systems, or any third party acting on your behalf.

d) any fraudulent or unlawful use of the Services, Platform, or any bureau data accessed through the Services.

e) any actions, inputs, or activities carried out by the User on the Platform (such as credit simulations or requests for bureau data) that may trigger regulatory, contractual, or financial liability.

f) Gross negligence and willful misconduct of the User

J. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, in no event shall Indialends, its affiliates, directors, officers, employees, agents, or representatives be liable to you or to any third party for:

a) Indirect Losses: any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of revenue, loss of goodwill, loss of data, or business interruption, whether arising in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages; and

b) any loss, damage, interest, claim, cost, or expense arising out of or in connection with:

● non-processing, delay in processing, or erroneous processing of any Transaction;

● any act or omission of the Payment Partner, Partners, or any third party, except to the extent such loss is solely and directly caused by Indialend’s fraud, that can be evidenced by records.

c) any non-availability of the Services.

d) for any decisions, actions, or financial outcomes of the User taken on the basis of the Services, including credit reports, simulations, alerts, or educational content.

Notwithstanding anything to the contrary contained herein, Indialends’s maximum aggregate liability, whether in contract, tort (including negligence), strict liability, or otherwise, for any and all claims arising under or in connection with these Terms or the Services and the Platform shall not exceed the Subscription Fee paid by the User for the period during which the claim arose.

K. INTELLECTUAL PROPERTY 

The Services, whether individually or as a collective work and/or compilation are protected by applicable copyright laws, international conventions, and other intellectual property laws of the territory in which the Services are provided. All rights, title and interest in and to the Services, including but not limited to the Platform and any software, code, design, text, graphics, logos, interfaces, and other materials, are and shall remain the exclusive property of Indialends and/or its licensors.

As the User, you are granted a limited, non-exclusive, non-transferable, revocable right to access the Services strictly in accordance with these Terms. You shall not, without prior written consent from Indialends:

a) modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works from the Services;

b) publish, transmit, participate in the transfer or sale of, reproduce, distribute, perform, display, or otherwise exploit the Services, in whole or in part; or

c) remove, obscure, or alter any copyright, trademark, or other proprietary rights notices contained in or associated with the Services.

L. SUSPENSION AND TERMINATION

Notwithstanding any other legal remedies available to us, we may, at our sole discretion, limit your access or activity (whether temporarily or indefinitely), suspend, terminate or refuse to provide you with access to the Services, without any prior notice and without assigning any reasons whatsoever, including but not limited to, the occurrence of the following events:

a) breach of any obligations, covenants, representations, or warranties under these Terms;

b) failure to make payments

c) engaging in any fraudulent or unlawful activity.

All rights and obligations of the parties that have accrued prior to the effective date of termination shall survive such termination.

M. THIRD-PARTY SERVICES

The Services may incorporate, interoperate with, or otherwise make available services, content, documents, software, and/or information that are owned by, licensed to, or otherwise provided by a third party (“Third-Party Services”), and may also include links or access to such Third-Party Services. You acknowledge and agree that:

a) Third-Party Services are the sole responsibility of the third party that created, owns, or provides them;

b) Indialends has no control over, and does not endorse, recommend, or make any representations or warranties in respect of such Third-Party Services; and

c) Use of any Third-Party Services is entirely at your own risk.

Indialends expressly disclaims any and all warranties, representations, and liabilities, whether express, implied, or statutory, in connection with Third-Party Services, including without limitation, warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, reliability, security or availability.

Your use of Third-Party Services shall be governed solely by the applicable terms and conditions, privacy policies, and other contractual provisions of the relevant third-party service provider, and you are responsible for reviewing and complying with the same.

All intellectual property rights in and to the Third-Party Services (including without limitation, trademarks, service marks, logos, and copyrighted material) are the exclusive property of their respective owners. No rights in such intellectual property are granted to you by virtue of your access to or use of the Services.

Indialends shall have no liability whatsoever for:

a) any loss, damage, claim, or expense suffered by you arising from or in connection with your use of or reliance on any Third-Party Services; or

b) any interruption, suspension, modification, withdrawal, or discontinuation of any Third-Party Services.

N. USE OF DATA

Indialends may collect, use, process, and analyze information and data relating to your use of the Services for analytics, trend identification, statistical purposes, and improve the effectiveness and efficiency of the Services and the Platform.

Such information and data may also be used to provide you with notifications, updates, alerts, promotional offers, and other communications relating to the Services. All analytics, statistics, reports, and other derivative works created from such data, and all intellectual property therein, shall be the sole and exclusive property of Indialends.

If you provide any feedback, suggestions, ideas, or recommendations (“Feedback”) regarding the Services or the Platform, you acknowledge and agree that:

a) such Feedback shall become the sole and exclusive property of Indialends;

b) Indialends shall have the unrestricted right to use, reproduce, disclose, modify, adapt, and exploit such Feedback without any obligation to compensate you; and

c) Indialends may use such Feedback to enhance, develop, or improve the Services, the Platform, or the overall customer experience.

O. DATA PROTECTION

You are responsible for ensuring that any personally identifiable information or personal financial information (collectively, “Personal Data”) you provide to Indialends, Partners or the Payment Partners is shared in compliance with:

a) all applicable laws and regulations;

b) the publicly disclosed privacy policy of the Partner and/or the Payment Partner and the Partner Terms; and

c) any other applicable rules, codes, or standards.

Your Personal Data you provide to us will be processed in accordance with our Privacy Policy, unless you have given explicit, informed, and verifiable consent for it to be used for any other specified purpose.

F. MISCELLANEOUS

a) Severability: If any provision of these Terms is held by a court or other competent authority to be unlawful or unenforceable, such provisions shall be deemed severed to the extent necessary, and the remainder of these Terms shall remain valid and enforceable. If the unlawful or unenforceable portion can be made lawful by deletion or modification, it shall be so deleted or modified, unless doing so would defeat the clear intention of the provision, in which case the entire provision shall be deemed deleted.

b) Waiver: No failure or delay by Indialends in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of such right or remedy preclude any other or further exercise thereof or of any other right, power, or remedy. All rights and remedies provided herein are cumulative and in addition to those available at law, in equity, or under statute.

c) Assignment: You shall not assign, transfer, sublicense, or otherwise dispose of your rights, obligations, or covenants under these Terms without our prior written consent, which we may grant or withhold at our sole discretion. We may assign or transfer our rights and obligations under these Terms to any of our affiliates, subsidiaries, parent company, or any successor in interest to our business, without prior notice to you.

d) Force Majeure: We shall not be liable for any failure or delay in the performance of our obligations under these Terms due to any cause beyond our reasonable control, including but not limited to: the unavailability or breakdown of communication systems, network failures, cyber-attacks, sabotage, fire, flood, explosion, natural disasters, civil unrest, strikes or industrial disputes, riots, acts of war, governmental actions, or regulatory restrictions or unavailability of the Third-Party Services or services of the Payment Partners and the Partners (“Force Majeure Event”). In such cases, we shall be entitled to a reasonable extension of time to perform our obligations and will make commercially reasonable efforts to notify you of the Force Majeure Event and shall take reasonable steps to mitigate its impact.

e) Notices: All notices, requests, demands, and other non-routine communications to us under these Terms shall be sent to:

f) Third-Party Rights: No person other than the parties to these Terms shall have any right to enforce any provision contained herein.

Q. GRIEVANCE REDRESSAL

We are committed to addressing all queries, concerns, and/or complaints that you may have with respect to the Platform and the Services available thereon. For any such queries or complaints, you may contact us at grievance@indialends.com.

For any queries, complaints, or disputes relating to the credit reports downloaded, associated payment methods, or other ancillary matters, you may contact the relevant Partner and Payment Partner directly in accordance with the Partner Terms.

R. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India and any dispute concerning these Terms shall be subject to the exclusive jurisdiction of courts at New Delhi, India.
